Terms of Service

These terms govern use of Malone Integrated Tech’s public website, private client portal, Vault Compiler, and related online services.

Effective August 27, 2026

These Terms of Service (“Terms”) govern use of the Malone Integrated Tech public website, private client portal, Vault Compiler, and related Malone online services (collectively, the “Services”). By using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to do so.

1. Relationship to client agreements

These Terms govern use of Malone’s online Services. A signed proposal, statement of work, master services agreement, order, change approval, or other written client agreement may contain additional or different terms. If a signed client agreement conflicts with these Terms, the signed client agreement controls for that client work.

2. Public website and inquiries

Information on the public website is general information about Malone’s services and capabilities and is not, by itself, a binding offer, quote, scope of work, warranty, or commitment to perform services. Sending an inquiry or requesting discovery does not create a client engagement until Malone and the client agree to the applicable scope and commercial terms.

3. Authorized portal access

The private client portal is invitation- or membership-based. You may use only accounts, organizations, projects, files, tools, and actions you are authorized to access. You may not attempt to bypass authentication, project isolation, role restrictions, entitlements, or other security controls.

You are responsible for maintaining reasonable control of your account, browser session, and devices. Do not share authentication factors, recovery codes, private keys, access tokens, or other credentials with Malone through ordinary forms or project requests unless Malone specifically provides an approved secure method for that purpose.

4. Requests, approvals, scope, and authority

Submitting a question, support request, meeting request, change request, file request, or other portal message creates a communication record. It does not by itself:

  • change project scope;
  • authorize additional fees or payment;
  • approve or reject a deliverable;
  • grant a user role or tool entitlement;
  • authorize deployment, release, refund, purchase, or other consequential action; or
  • modify a signed agreement.

Where a consequential decision requires an approval, scope change, price acceptance, stronger authentication, or other explicit authorization, Malone may require that separate step before acting.

5. Vault Compiler and other tools

Access to Malone tools may depend on project membership, role, entitlement, or service level. Some tools may be labeled staging, beta, preview, synthetic, experimental, or otherwise limited. Such tools may change, be unavailable, or intentionally stop before producing a production artifact or external action.

Tool output should be reviewed by an authorized human before it is relied upon for a consequential business, security, financial, legal, operational, or deployment decision. Unless expressly agreed otherwise in writing, tool output does not replace professional judgment or an authorized approval process.

6. Client content and confidential information

You retain rights in materials you provide to Malone, subject to the rights needed for Malone to perform the agreed services. Ownership of project deliverables is governed by the applicable client agreement. Malone retains rights in its pre-existing tools, software, methods, templates, systems, know-how, branding, and other materials unless a written agreement states otherwise.

Do not submit information you are not authorized to share. Do not submit passwords, recovery codes, access tokens, private keys, or unrelated third-party sensitive information through ordinary forms or tools.

7. Acceptable use

You may not use the Services to:

  • violate applicable law or another person’s rights;
  • probe, scan, attack, disrupt, or overload Malone systems;
  • access another client’s data or resources without authorization;
  • upload or distribute malware or intentionally harmful code;
  • impersonate another person or misrepresent authority; or
  • use the Services in a way designed to defeat security, audit, scope, or authorization controls.

8. Third-party services

Some Malone features rely on third-party services such as Google, authentication and database providers, hosting providers, email-delivery providers, and scheduling services. Those services may be governed by separate terms. Malone is not responsible for outages, policy changes, or independent actions of third-party services outside Malone’s reasonable control.

9. Availability and changes

Malone may update, suspend, restrict, or discontinue parts of the Services, especially staging, beta, preview, or security-sensitive features. We may also require users to re-authenticate or complete a stronger security checkpoint when risk or account policy requires it.

10. Disclaimers

To the maximum extent permitted by applicable law, the public website and any staging, beta, preview, or experimental features are provided on an “as available” basis. Malone does not promise that every feature will be uninterrupted, error-free, or appropriate for every purpose. Specific warranties, service levels, remedies, or acceptance criteria for paid client work are governed by the applicable signed client agreement.

11. Limitation of liability

To the maximum extent permitted by applicable law, and except where a signed client agreement provides otherwise, Malone is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from use of the public website or unpaid staging/beta features. Any liability relating to paid client work is governed by the applicable signed client agreement and applicable law.

12. Suspension and termination

Malone may suspend or terminate online access when reasonably necessary to protect clients, systems, security, legal compliance, or contractual rights. Ending portal access does not erase obligations or rights that arose before termination.

13. Changes to these Terms

We may update these Terms as the Services change. The effective date above identifies the current published version. Continued use after an updated version becomes effective constitutes acceptance to the extent permitted by applicable law.
